These Terms of Service (“Terms”) govern your access to and use of Convexa’s website, platform, and services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you’re entering on behalf of a company or other entity, you represent you have authorization to bind that entity.
1. Definitions
“User” / “You”: the person or entity using the Service.
“Convexa” / “We” / “Us”: Convexa Ltd, the provider of the Service.
“Agent” / “Bot”: AI voice agents built, deployed, or managed using Convexa.
“Add-ons”: Optional features or services you may subscribe to in addtion to base Service.
“Usage”: Minutes, calls, SMS, or transactions processed through the Service.
“Content”: any data, audio, transcription, recordings, text, or media uploaded or processed via the Service.
2. Use of the Service & Account
Account Registration
You must register for an account and provide accurate, complete information. Keep your credentials secure.License Grant
Convexa grants you a non-exclusive, non-transferable license to access and use the Service, subject to these Terms and applicable usage fees.Restrictions
You shall not:Reverse engineer, decompile, or attempt to access the source code.
Use the Service to deliver illegal, infringing, or harmful content.
Share your account credentials or allow unauthorized access.
Compliance with Law & Consent
You represent that you have obtained all required consents to record, process, or analyze calls or communications under applicable laws (e.g. GDPR, UK Data Protection Act).
3. Fees, Billing & Payment
Setup Fees & Usage Fees
You agree to pay the setup fees and usage-based charges (per-minute, SMS, add-ons) as published by Convexa. Usage fees accrue as you consume the Service.Billing Cycle & Invoices
Usage is billed monthly (or as otherwise agreed). Invoices are due upon issuance. Failure to pay may result in suspension or termination.Taxes
All fees exclude applicable taxes, which you must pay in addition. If Convexa is required to collect or remit taxes, you agree to pay them.Suspension for Non-Payment
Convexa reserves the right to suspend or disable access to the Service if payment is overdue.
4. Content & Data
Your Content
You retain ownership of your Content. You grant Convexa a license to store, process, and transmit it for the purpose of providing the Service.Data Processing & Privacy
Convexa will process personal data under our Privacy Policy (as published on our website). We will act as data controller/processor where applicable.Backups & Retention
We may retain copies of data for business continuity, legal, or compliance reasons. You may request deletion according to policy.
5. Intellectual Property
All rights, title, and interest in the Service (excluding your Content) remain with Convexa. You may not copy, modify, publish, distribute, sublicense, or make derivative works of any part of the Service.
6. Warranties & Disclaimers
No Guarantee
The Service is provided “as is.” We do not guarantee error-free operation, uninterrupted access, or specific results.Limited Warranty

Except as expressly stated, Convexa disclaims all warranties, whether express or implied (e.g. merchantability, fitness for a particular purpose).
7. Limitation of Liability
To the maximum extent permitted by law:
Convexa’s liability for any claim arising out of or relating to these Terms or the Service shall be limited to the greater of (a) the fees you paid in the prior 12 months or (b) £1,000.
Convexa is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility.
8. Indemnification
You agree to indemnify, defend, and hold harmless Convexa and its officers, employees, and agents from any claims, damages, liabilities, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
9. Termination
Termination by You
You may terminate your subscription by providing written notice. You will still owe accrued charges up to termination date.Termination by Convexa
Convexa may terminate or suspend access immediately for breach of Terms or non-payment.Effect of Termination
Upon termination, your access will end, and we may delete your data after the retention period specified in our policies.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of England & Wales. Any disputes will be subject to the exclusive jurisdiction of the courts in London, England (unless otherwise agreed).
11. Changes to Terms
Convexa may update these Terms from time to time. We will post changes on the site and, for material changes, provide notice. Continued use after updates constitutes acceptance.
